Agreement Overview

This Agreement is between the User (“you”) and Orbit Local LLC (“Orbit Local”). By accessing and using the website https://www.orbitlocal.com (the “Site”), you agree to the Terms outlined below. If you do not agree, please discontinue use of the Site.

The Site is operated by Orbit Local and serves as a resource for our services, products, and industry insights to help businesses grow.

1. Privacy Policy

Your use of the Site is subject to our Privacy Policy, which governs how we collect, use, and protect your data. Please review the Privacy Policy available on the Site.

2. Electronic Communications

By visiting the Site or sending emails to Orbit Local, you consent to receiving electronic communications. These communications meet any legal requirements for written notices.

3. Account Management

  • You are responsible for maintaining the confidentiality of your account credentials.
  • Orbit Local is not liable for unauthorized access resulting from your failure to secure your account.
  • We reserve the right to terminate accounts or services if misuse is detected.

4. Billing and Payments

4.1 General Terms

Orbit Local operates on a subscription-based model for ongoing services. Payments cover access for the billing period and are not tied to one-time tasks.

4.2 Billing Options

  • Advance Billing: Invoices are issued at the start of the service month. Clients who opt for this method receive a 5% discount for payments made within 14 days.
  • Billing in Arrears: Invoices are issued at the end of the month for services rendered.

4.3 Payment Methods

  • Payments are processed securely through BILL.com using ACH or credit/debit cards.
  • ACH payments incur a $0.49 fee.
  • Credit card payments include a 2.9% processing fee.

4.4 Late Payments

  • A 5% late fee will apply to invoices not paid by the due date.

4.5 Autopay Options

  • Clients can enable or disable autopay at any time by contacting support@orbitlocal.com.

5. Service Adjustments and Cancellations

5.1 Holiday and Year-End Adjustments

Orbit Local may adjust billing dates during holidays or at the fiscal year-end for timely processing. Clients will receive 14 days’ notice of any adjustments.

5.2 Cancellation

  • Either party may terminate this agreement with a 15-day written notice.
  • Cancellation within the notice period releases the client from payment for the upcoming service month.

5.3 Refund Policy

  • Payments are non-refundable, except in cases where advance billing clients cancel services before the covered period begins.

6. Subscription Services

The subscription covers continuous access to services and support. Disruption or misuse of services may result in termination.

7. Refunds and Disputes

  • Refunds are issued solely at Orbit Local’s discretion.
  • Billing disputes must be submitted within 30 days of the invoice date.

8. Service Interruptions

Orbit Local is not responsible for interruptions caused by:

  • Third-party service failures.
  • Technical issues.
  • Force majeure events.

9. Intellectual Property

All content on the Site, including text, graphics, and software, is the property of Orbit Local or its licensors. Users may not reproduce, distribute, or create derivative works without explicit permission.

10. Communication Services

The Site may include features such as chat areas or forums (“Communication Services”). Users agree to use these services responsibly, refraining from unlawful or inappropriate activities.

11. Third-Party Links and Integrations

The Site may include links to third-party websites and tools. Orbit Local is not responsible for the content or performance of third-party platforms.

12. Modifications to Terms

Orbit Local reserves the right to update these Terms. Clients will receive 14 days’ notice of significant changes.

13. Governing Law

This Agreement is governed by the laws of Florida. Any disputes will be resolved through binding arbitration as outlined below.

14. Arbitration and Class Action Waiver

  • Disputes will be resolved by binding arbitration in accordance with the Federal Arbitration Act.
  • Users waive their right to participate in class or collective actions.
